Reporting to the Sourcing Manager for IT within Penn Purchasing Services, this position will be responsible for managing all aspects of IT purchasing contracts for hardware, software, and services. The incumbent will interface with university customers in order to understand the business and use case of each contract required, identifying changes necessary to contract terms as well as identifying opportunities to mitigate risk with input from extended stakeholders such as the Privacy Office, General Counsel, and Information Security. This position will be responsible for modifying contract terms to be in closer alignment with current Penn contract, legal, and technology standards. Advanced writing skills and the ability to develop contract language to address complex and often ambiguous business, legal, and technical situations is required. Contracts will also be managed through signature and execution process, as well as maintained in the departmental contract management system.
Bachelor’s Degree and 5 years to 7 years of experience or an equivalent combination of education and experience is required. Working experience with software licensing models required (by user, site licensing, volume-based/activity-based, development agreements, etc.), and also experience with technology-specific legal issues such as:Software-as-a-Service, hosted application, PaaS, IaaS agreement typesHosting environments (on prem, third party)Third party security and infrastructureFamiliarity with certifications such as SOC I, SOC II, SAS 70, and similarService Level AgreementsMust have an advanced understanding of procurement contracting processes and common legal standards (ie. payment terms; indemnity/remedies; limits of liability, warranties), including but not limited to:Understanding of key legal issues pertaining to software, including:Trademark/Intellectual property rightsData use, data ownership, data transfer issuesRemedies, including indemnificationLimitations of Liability (LOL) and related, common customer carve-outs (ie. no LoL for specific issues; LoL’s capped or defined for other issues)Strong interpersonal and communication skills required, including a track record of effectively partnering with a diverse group of customers, ideally in a higher education or non-profit environment. Demonstrated ability to collaborate with internal experts is required, as is capability to manage detail and multiple competing priorities in a complex environment. Preferred qualifications include:Familiar with end-to-end strategic sourcing processes, including Request for Information (RFI), Request for Quotation (RFQ), and Request for Proposal (RFP).Experience in analyzing spend with the goal of identifying opportunities for supply base consolidation and risk mitigation
